Formation services

Consilex has a wide experience in company, fund and trust structuring and formation.  We are duly licensed by the FSC to provide formation services in the Mauritius Global Business Sector.

Consilex provides a seamless service from the reservation of name with the Registrar of Companies to filing the application with the authorities in Mauritius and ensuring the company/fund is duly incorporated and the licence secured. It will also be responsible for the opening of the bank account, application of the tax residency certificate and provision of ongoing administration services.

 

Corporate Management Services

Consilex provides full fledged corporate management services, including, corporate secretarial services, directorship and other administrative services such as;

    • Acting as corporate secretary;
    • Provision of high calibre directors that allows the client to focus on its core business;
    • Opening of bank account;
    • Provision of registered office ;

Fund administration

Consilex provides a one stop shop for comprehensive fund administration services encompassing investor relations, NAV calculation, monitoring investment parameters, reporting, organizing board meetings, acting as transfer agent etc.
 
Consilex administers numerous funds investing in various parts of Africa and Asia. Funds under our administration are:

  • Private equity funds.
  • Venture capital funds.
  • Hedge funds.
  • Shariah Compliant funds. 

These can be one or two tiered structure, master-feeder funds or parallel funds.

Company Secreterial Services

Compliance and anti-money laundering

Preventing money laundering and terrorist financing is an essential part to protection of your business. Consilex adopts a proactive approach by taking full responsibility for conducting due diligence on all parties involved in a company or fund including the shareholders/investors, signatories, co-investors, etc…

Consilex will also monitor the day to day transaction conducted by/with the company under its administration.

 

Tax computation

Under the Mauritius Income Tax Act 1995, an annual tax return must be filed with the Mauritius Revenue Authority by all Mauritius incorporated companies (apart from GBL2 Companies) and Mauritius tax resident trusts.

Consilex assumes full responsibility for the following:

  • Tax computation;
  • Completion of tax return;
  • Filing of tax returns;
  • Monitoring that our client is tax compliant by ensuring that a company/trust is centrally managed and controlled in Mauritius.

We also provide assistance in structuring tax efficient structures for cross border transactions and application for advance rulings.

 

Legal Support

The in house legal team of Consilex provides support on all legal compliance matters, including the vetting of agreements and contracts pertaining to client businesses.

 

Trusteeship Services

Consilex can assist in the establishment of trusts, provision of trusteeship services and administration of international trusts and structures such as discretionary trusts, unit trusts, charitable trusts, purpose trusts for high net-worth individuals and institutional clients located worldwide.

Our services includes:

Migration of Companies

Consilex can assist companies to migrate to Mauritius, as permitted by the Companies Act 2001.

Our services include:

    • Name reservation;
    • Reviewing and submitting documents required by the authorities in Mauritius.
    • Liaising with the Mauritian legal adviser (i) to secure a legal certificate confirming that the application complies with the Laws of Mauritius, and (ii) to ensure that the existing Memorandum and Articles of Association of the company be amended to meet the requirements of Mauritian applicable laws;
    • On-going administration of the company once it has been migrated in Mauritius, including company secretarial services, Mauritius resident directors, accounting and tax compliance (as may be applicable).

 

Listing on the Stock Exchange

The Stock Exchange Act 1988 established the Stock Exchange of Mauritius Ltd (SEM), a private limited company as well as the Stock Exchange Commission (SEC), which controls and supervises stock exchange operations. It officially started its operations in 1989.

The SEM has three markets, namely the Official Market, the Development & Enterprise Market and the Debt Securities Market. Its indices, the SEMDEX and the SEM-7, provide the necessary benchmarks for reflecting movements in capitalisation and liquidity of the market.

The Central Depository System (CDS), in which all listed companies are currently registered, was implemented in early 1997, thereby making Mauritius one of the first countries in the East African Region to offer such services. The Stock Exchange of Mauritius is a member of the World Federation of Exchanges (WFE), formerly “Federation Internationale des Bourses de Valeurs (FIBV)” and is also a founder member of the African Stock Exchange Association (ASEA)

There have recently been a number of incentives offered to International Investors wishing to invest in and/or raise funds in Mauritius, namely allowing the possibility for ‘offshore” funds to be listed on the SEM. It should also be noted that all foreign exchange controls have been suspended in Mauritius since 1994, thus facilitating the free repatriation of funds.

Consilex can:

  • Advise on the listing procedures;
  • Assist in the preparation and submission of required documents;
  • Ensure compliance by the Company of the post listing obligations imposed by the Stock Exchange Authorities.

 

Occupation Permit/Permanent Residence

The Occupation Permit combines a work permit and a residence permit into a single permit, it allows an eligible non-citizen to reside and work in Mauritius for three years. In order to be eligible, the non-citizen should meet certain criteria and register with the Board of Investment (“BOI”).

Consilex will assist to:

  • Review and ensure completeness of application documents for registration with the BOI;
  • Review and ensure completeness of application documents for Occupation Permit or Residence Permit;
  • File the application with the BOI;
  • Follow-up with BOI to ensure prompt issue of registration certificates and Occupation Permit or Residence Permit;
  • File the application for residence permits for dependents.

Non-citizens holding an Occupation Permit under the categories of Investors and self-employed or Retired non-citizen holding a Residence Permit may apply for Permanent Residence status at the expiry of their permits, provided certain conditions are satisfied.

 

Acquisition of Property

Non-citizen registered as Investor and holding an occupation permit may acquire an immovable property for business purposes only.

Non-citizens registered as Investor or Self-employed or a Retired non-citizen who have been granted a permanent residence permit may acquire a property for residence purposes.

Consilex will assist to:

  • Review and ensure completeness of application documents for Permanent Residence;
  • File the application with the relevant Authorities;
  • Review and submit application to BOI for acquisition of property.
